1. Definitions
In these Terms:
“AI Processing” means the automated or semi-automated analysis of data by artificial intelligence systems within the Services.
“Content” means any text, audio, images, video, files, or other materials uploaded, recorded, or shared through the Services.
"Authorised Representative" means a person who has legal authority to act on behalf of an NDIS Participant in relation to the Services. This includes:
an appointed guardian under a Guardianship Order or equivalent instrument;
a parent or primary carer with decision-making responsibility for the Participant;
a plan nominee appointed under the NDIS Act 2013 (Cth); or
any other person with documented legal authority to act on the Participant's behalf.
A plan manager may act on the Participant's behalf for billing, invoicing, and funding-related matters only, and is not an Authorised Representative for the purposes of consent, data sharing, or account management unless they also hold one of the authorities listed above.
"Guardian" and "Plan Nominee" have the meanings given to them under the applicable state, territory, or Commonwealth legislation.
“NDIS” means the National Disability Insurance Scheme established under the National Disability Insurance Scheme Act 2013 (Cth), which provides funding to eligible Australians with permanent and significant disability to access supports and services that help them achieve their goals and improve independence and wellbeing.
“NDIS Participant” or “Participant” means a person who receives funding or services under the NDIS.
“NDIS Requirements” means the NDIS Practice Standards, the NDIS Code of Conduct and other applicable NDIS policies governing assistive-technology providers, including the NDIS AI-Enabled Assistive Technology Framework.
“Personal Information” has the meaning given in the Privacy Act 1988 (Cth).
“Policies” means Our Terms & Conditions, (hellolearnable.com.au/terms); Privacy Policy (hellolearnable.com.au/privacy); Safety & Safeguards Policy (hellolearnable.com.au/safety); and Ethical AI & Responsible Data Use Policy (hellolearnable.com.au/ethics) each of which are incorporated by reference into these Terms.
“Services” means the LearnAble mobile app, web platform, AI tools, website and related features provided by Us.
“User” or “You” means any person who accesses or uses the Services, including NDIS Participants, carers, Plan Nominees, Guardians, and support providers.
“We”, “Us”, “Our” means Learnity Pty Ltd (ABN 76 689 268 031) trading as LearnAble Technologies.
2. Acceptance of Terms
By creating an account, accessing, or using the Services, You agree to be bound by these Terms and Our Policies.
If You are acting as a Guardian or Plan Nominee, You represent and warrant that You have the right, power and authority including the necessary consents to act for and on behalf of the NDIS Participant and to bind the NDIS Participant to the obligations in these Terms.
If You do not agree to these Terms, You must not use the Services.
3. Eligibility
You must be:
A resident of Australia; and
At least 13 years of age and using the Services with the consent and supervision of a Guardian or Plan Nominee, or at least 18 years of age.
We may request evidence of eligibility at any time and reserve the right to refuse or suspend access if eligibility requirements are not met.
3A. Use Outside Australia
The Services are intended for use within Australia only.
We make no representation or warranty that the Services are appropriate or available for use in other countries.
Accessing or using the Services from outside Australia is at Your own risk and may not be supported.
Certain features, including AI Processing and NDIS-linked functionality, may not operate or may be restricted outside of Australia.
By using the Services outside Australia, You remain responsible for complying with all applicable local laws and regulations.
4. Description of Services
LearnAble is an AI-powered assistive-technology platform designed to help people with cognitive, or processing disabilities navigate daily life and technology safely.
The Services comprise the LearnAble assistive technology platform which is available for download from the Apple App Store and Google Play app store, and is designed to support NDIS Participants, carers, and providers by:
Supporting communication, reminders, and daily tasks;
Simplifying information through conversational AI and providing AI-generated responses to questions and prompts; and
Storing and organising information related to NDIS supports and goals.
It has been designed to:
Support user goals and functional outcomes;
Minimise risk of harm; and
Align with the domains of user experience, privacy and security, quality, safety and human rights.
LearnAble does not provide medical, therapeutic, legal, financial or any other professional advice. It complements - not replaces - the people who support You. Important decisions about Your health, finances, legal rights or safety must always involve qualified professionals and/or Your support networks. More specifically, the Services are not:
A replacement for medical, therapeutic legal, financial, or any other professional advice;
A substitute for professional NDIS plan management or therapy; or
Guaranteed to be error-free, uninterrupted, or available at all times.
We may update, modify, or remove features without notice including to improve functionality or compliance. Older versions and certain features may cease to function after updates.
4A. Pricing, Billing and Payments
Some features of the Services may require payment. Pricing and inclusions are made available on request, or through authorised distribution partners.
Where Services are paid through a subscription, bundle, or device plan, the billing terms of that arrangement apply (for example, NDIS plan-managed payments or third-party invoicing).
You authorise Us (or Our payment provider) to charge the applicable fees using the payment method You select.
Subscriptions renew automatically unless cancelled before the renewal date.
We may change pricing or introduce new paid features with reasonable notice. Continued use after notice means You accept the new terms. If such changes are detrimental to You, You will be provided with an option to terminate the Services and have any unused pre-paid amounts refunded to you on a pro-rated basis.
4B. NDIS Plan Funding and Payment Process
LearnAble is an assistive technology product that may be funded under a Participant’s NDIS plan, where approved by the Participant, their Guardian, or plan manager.
Payments for LearnAble are managed outside of the Apple App Store and Google Play app store in accordance with the Participant’s NDIS plan and applicable NDIS pricing arrangements.
LearnAble does not accept payment through the Apple App Store, Google Play Store, or other in-app purchase systems.
No fees are charged to a Participant’s personal App Store account, Apple ID, or Google account.
NDIS Participants, Guardians, or plan managers are responsible for ensuring LearnAble is an approved and funded support under the Participant’s NDIS plan.
We may provide invoices or service agreements directly to Participants, Guardians, plan managers, or support coordinators for payment under the appropriate NDIS line item.
Where a Participant is self-managed or plan-managed, they authorise Us or its authorised partners to issue invoices and receive payments from their NDIS plan.
LearnAble does not provide financial advice, and NDIS eligibility or funding decisions are made by the National Disability Insurance Agency (“NDIA”), not by Us.
5. NDIS Participant Rights
We operate in accordance with the NDIS Requirements and commit to:
Respecting Participant privacy and dignity;
Supporting independence in decision-making, informed choice and control;
Communicating in accessible and culturally safe and respectful ways; and
Taking reasonable steps to support Participants to understand what the Services do and do not do.
6. Account Registration and Management
To access certain features, You must register for an account and provide accurate, current, and complete information.
You must:
Use LearnAble safely and appropriately;
Care for Your leased device;
Keep Your LearnAble login details and passcode or other access information private;
Avoid uploading harmful or illegal content, or any content which infringes any third party rights including information, materials or content owned by a third party;
Avoid using LearnAble for illegal purposes;
Notify LearnAble of NDIS plan or funding changes;
Pay invoices on time and in accordance with any invoice provided to You;
Follow our Terms & Conditions and other policies;
Keep account information up to date; and
Maintain valid payment details for any paid subscription.
You are responsible for all activity under Your account, including activity by authorised representatives.
7. User Conduct
You must not use the Services:
To break any law or encourage illegal activity, or otherwise use the Services for illegal purposes;
To harass, threaten, or harm others;
To share offensive, harmful, or discriminatory content;
To upload malware, viruses, or malicious code;
To attempt to hack, disrupt, or compromise security, or reverse-engineer any software;
To misrepresent Your identity or act on behalf of another person without proper authority;
To generate or share disinformation, hateful, violent, or sexually explicit material;
To create impersonations, “deepfakes,” or misleading representations of others;
To automate decision-making that has legal, medical, or financial consequences without qualified human oversight;
To train or develop competing AI systems using the Services;
To circumvent or interfere with any safety or monitoring mechanisms;
To upload harmful or illegal content, or any content that infringes any third-party rights, including information, materials, or content owned by a third party;
In a manner that is not safe or appropriate; or
In a manner that fails to comply with these Terms & Conditions or any other LearnAble policies.
We are not responsible for disputes between Guardians, carers, or authorised users.
7A. Monitoring and Responsible AI Use
To maintain safety and compliance, We may monitor and audit interactions with the Services, including AI-generated content, to detect and mitigate misuse or harmful activity.
If We identify any content or behaviour indicating suicidal ideation, risk of self-harm, a mental health crisis, risk of harm to another person, or abuse, neglect, exploitation or violence, We may, in Our absolute discretion, contact the most appropriate person(s), which may include Your Authorised Representative, Your nominated emergency contact, Your support network, or relevant authorities (such as emergency services or the NDIS Quality and Safeguards Commission). This safety monitoring is a mandatory condition of using the Services and cannot be opted out of.
Monitoring and AI governance are guided by Our Ethical AI and Responsible Data Use Policy (hellolearnable.com.au/ethics), which explains Our approach to fairness, transparency, accountability, and safety in AI-powered interactions.
We may suspend or restrict access if misuse, unsafe behaviour, or unethical activity is detected. We may also escalate high-risk interactions in line with Our Safety and Safeguards Policy (hellolearnable.com.au/safety).
8. Data Collection and Privacy
We collect, store, and process personal information as described in Our Privacy Policy (hellolearnable.com.au/privacy), in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
By using the Services, You consent to AI Processing of Your personal information as described in Our Privacy Policy (hellolearnable.com.au/privacy). If you do not so consent, you must not use the Services.
9. Professional Advice Disclaimer
We provide AI-assisted information tools designed to support, but not replace, human judgement or professional advice.
The Services are for general support only and are not a substitute for:
Medical, therapeutic, legal, financial or other professional advice;
Emergency assistance or crisis support; or
Services normally delivered by a qualified practitioner.
You must always verify important information with a qualified professional, and should not rely on the Services for the above support or support which is specific to Your particular needs.
If You are in crisis, contact emergency services (000 in Australia) or a recognised crisis line.
10. AI Outputs and User Responsibility
AI responses are generated automatically and may contain inaccuracies, omissions, or bias.
You must independently verify all information provided through the Services before acting on it.
We do not guarantee that any AI output will be accurate, complete, relevant, reliable or suitable for Your needs.
To the maximum extent permitted by law, We are not liable for, and You are solely responsible for, any decisions, actions, or outcomes resulting from Your use of or reliance on AI outputs.
11. User Content and Licence
You retain ownership of Content You provide (“Content”).
By submitting Content, You grant Us a non-exclusive, royalty-free licence to:
Store, process, and use Content to deliver the Services; and
Use anonymised data to improve the Services.
11A. AI Model and Output Ownership
All LearnAble names, logos, trade marks, copyright, patents and other intellectual property (whether registered or not), including software, interfaces, and content (“LearnAble IP”) are and will always remain the property of Us. You retain ownership of all content, information and materials you create or upload to Us (“Your Content”). By using the Services, You grant to Us a limited, non-exclusive licence to:
use Your Content to provide the Services to You;
use Your Content in a de-identified, aggregated form to improve the Services; and
use any feedback You may provide to improve the Services,
including in the case of (b) and (c) above, after termination of these Terms. By using the Services, we grant You a limited, non-exclusive, revocable, non-transferable, non-sub-licenseable right to use the LearnAble IP in the form of the Services, for personal, non-commercial purposes as contemplated in these Terms, and not for any other purpose. Except as set out in this clause, nothing in this Agreement grants you any right, title or interest in or to the LearnAble IP.
If the Services are suspended or terminated for any reason, including due to non-payment or termination of these Terms, You have no right to use and must immediately cease using the LearnAble IP.
12. Service Availability and Support
We aim to provide reliable Services but cannot guarantee uninterrupted access.
We may suspend Services for maintenance, security, or upgrades. The Services may also be suspended for safety, legal or other reasons beyond our control.
We do not guarantee against data loss. You must maintain Your own backups and You are responsible for your network, third-party apps, and environment.
13. Device, Software and Internet Requirements
You must have a compatible device, operating system, and reliable internet connection.
Some functions require an active connection and will not operate offline.
You are responsible for associated device, data, and software costs.
We are not responsible for limited functionality or delays due to connectivity or device issues.
13A. AI Model Updates and Performance Changes
We may update or modify the AI models or data sources at any time.
You acknowledge that such updates may alter system behaviour, functionality or AI outputs.
We do not guarantee the continued performance, consistency, availability, or behaviour of any AI model or output following updates.
Older versions and features may be discontinued without notice.
To the maximum extent permitted by law, We are not liable for, and You are solely responsible for, any performance differences, changes in outputs, or impacts arising from updates, modifications, or the discontinuation of features.
We will periodically review the performance of our AI models, including for safety and bias and may adjust, restrict or disable features that do not meet Our safety, quality or human-rights expectations.
14. Third-Party Services and Links
The Services may include links or integrations with third-party websites or software.
We do not control or endorse these third-party services and are not responsible for their content, security, or availability.
Use of such services is at Your own risk.
14A. App Store Access and Distribution
The Services are distributed through third-party platforms, including the Apple App Store and Google Play app store (collectively, “App Stores”).
Access to and use of the Services through these App Stores are subject to the respective App Store terms of service. You agree to comply with all applicable App Store rules and policies.
We are responsible for the content and operation of the LearnAble app, but We are not affiliated with Apple Inc. or Google LLC, and they are not responsible for the app’s performance or support.
We are not responsible for the availability, functionality, or continued listing of the LearnAble app on any App Store.
Your ability to download, update, or use the app may depend on any App Store requirements, including device compatibility, operating system version, and geographic restrictions.
Payments for LearnAble subscriptions, bundles, or services are managed directly by Us or authorised NDIS partners.
The LearnAble app may be modified, suspended or withdrawn from any App Store at any time, with reasonable notice where required.
15. Warranties and Limitation of Liability
No Warranty – The Services are provided “as is” and “as available”. We are not liable for harm from reliance on AI outputs, misuse, third-party failures, or events beyond Our control.
Australian Consumer Law – Nothing in these Terms is intended to limit, restrict or modify any rights You may have under the Competition and Consumer Act 2010 (Cth) including any consumer guarantees, or any non-excludable obligations we have under NDIS legislation, or in the event we have acted with fraud, negligence or misconduct.
Limitation of Liability – The total liability of Us, our related bodies corporate and Our and their respective directors employees, agents and advisors to You is limited to all fees paid by You in the twelve (12) months before any claim. We are not liable for indirect or consequential loss. We are also not liable for any losses, damages or claims incurred by You as a direct or indirect result of Your actions or omissions.
NDIS Context – LearnAble is an assistive technology provider. We are not an NDIS plan manager or support coordinator, and We do not make decisions about Your NDIS plan or funding.
Data and Connectivity – We are not responsible for service interruptions, data loss, or device issues beyond Our control.
15A. Force Majeure
We are not liable for delay or failure to perform obligations due to events beyond Our control, including natural disasters, government restrictions, pandemics, or network failures.
15B. Indemnity
By using the Services, You agree to indemnify Us, our related bodies corporate, and Our and their respective directors, employees, agents and advisors from any losses, claims, damages, or costs arising from Your breach, misuse of the Services, or unlawful conduct.
This indemnity survives termination of the Agreement.
15C. AI Bias and Unexpected Outcomes
AI models may reflect historical biases or incomplete data.
We do not guarantee that any outputs will be free from bias, error or inaccuracy.
To the maximum extent permitted by law, We are not liable for, and You are solely responsible for, loss, damage or any outcome arising from biased, inaccurate or incomplete AI outputs.
16. Beta or Experimental Features
Some features may be released in beta or testing phases and may change or be withdrawn without notice.
17. Complaints and Dispute Resolution
17A. Your Right to Complain
You have the right to make a complaint about our Services at any time. You will not be disadvantaged for making a complaint.

You can complain in person, in writing, by phone, or through a support person or advocate. We can provide accessible formats if you need them.
17C. Our Response
We will acknowledge your complaint within 2 business days and provide a response within 10 business days (or 24 hours for urgent safety matters).
17D. External Complaints

18. Termination and Suspension
We may suspend or terminate Your access to the Services for breach of these Terms or misuse of the Services.
You may request account closure at any time.
We may discontinue the Services with reasonable notice.
19. Changes to Terms
We may update these Terms by posting an updated version on Our website or in the app.
Continued use after updates means You accept the changes.
20. Assignment and Survival
We may assign or transfer Our rights or obligations under these Terms to another party by giving You reasonable written notice. Where such a transfer occurs, We will take reasonable steps to ensure the new party meets equivalent safety, privacy, and service standards. If You do not wish to continue under the new party, You may terminate these Terms in accordance with clause 18.
You may not assign or transfer Your rights or obligations under these Terms without Our prior written consent.
Clauses relating to liability, indemnity, intellectual property, and privacy survive termination of these Terms.
21. Severability and Waiver
If any part of these Terms is invalid, the invalid provision will be severed, and the rest of the Terms shall remain in force.
Failure to enforce a right does not waive it.
22. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
You submit to the exclusive jurisdiction of its courts.
Except in respect of any debt obligations, if any dispute, controversy or concern arises in respect of these Terms, the parties will attend mediation before going to court. We will work together to choose an independent mediator. To the extent reasonable and practicable, the mediation will be held at a time and place that works for You, and You can bring a support person or advocate. We shall pay all costs associated with such mediation process.
